Website Terms of Service
Last updated: September 3, 2026. These Terms govern use of the Conduit Website.
1. Agreement To These Terms
These Website Terms of Service ("Terms") are a legal agreement between you and Conduit Hodlings Inc, doing business as Conduit ("Conduit," "we," "us," or "our"). By accessing or using the Website, you agree to these Terms and the Website Privacy Policy.
If you use the Website on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity. If you do not agree to these Terms, do not use the Website.
2. The Website
The Website provides information about Conduit, publishes Updates, introduces its marketplace, and links to separately governed Product Apps and third-party services. When enabled, it also accepts requests to join the Conduit community. Restricted publishing tools are available to authorized administrators.
Conduit may change, correct, update, suspend, or remove Website content or features at any time. Website content may become outdated, and we are not required to update every statement or archived post.
3. Informational Content
Website content is provided for general informational and educational purposes. It is not legal, tax, investment, accounting, or financial advice and is not an offer to sell or a solicitation to buy any security or financial product. You are responsible for evaluating information and obtaining professional advice appropriate to your circumstances.
Descriptions of planned, experimental, or developing features are not guarantees that a feature will be released, remain available, or operate in a particular way.
4. Permitted Use And Restricted Administration
You may use the public Website for lawful personal or business informational purposes. Restricted administration features may be used only by people expressly authorized by Conduit. You may not use another person's authentication link, session, or account.
You may not:
- violate applicable law or another person's rights;
- harass, threaten, spam, phish, impersonate, or defraud;
- upload, transmit, or distribute malware;
- interfere with the Website or overload it in a manner that disrupts ordinary operation;
- circumvent access controls, authentication, rate limits, or security measures;
- gain or attempt unauthorized access to administration tools;
- scrape or automatically extract Website content in violation of law or in a manner that materially burdens the Website;
- misrepresent affiliation with Conduit or misuse Conduit names, marks, or content.
5. Community Requests
A community request is an application for review, not an account registration or a guarantee of an invitation. Community membership is not required to enter Shop or Sell. Sending a request does not subscribe you to a newsletter, guarantee a response time, or change the terms governing the Product Apps.
Use an active public npub that you control and provide accurate information about how you would like to participate. The community manager may review its public activity and ask you to confirm control of that identity before inviting you. Do not submit private keys, payment information, or purchase-support requests through this form. Requests and follow-up communications are handled as described in the Website Privacy Policy.
6. Product Apps And Third-Party Destinations
Conduit Shop and Conduit Sell are separately hosted Product Apps governed by the Product Terms of Service and Product Privacy Policy linked above. These Website Terms do not govern purchases, sales, product listings, orders, payments, wallets, or messages in those Product Apps.
The Website also links to independently operated websites, community and social services, including Armada, and other resources. A link does not mean Conduit controls, endorses, or guarantees the destination. Your use of an external destination is governed by its own terms and privacy practices.
7. Intellectual Property
The Website, including its design, text, graphics, images, and other content, is owned by Conduit or its licensors and is protected by applicable law except where expressly stated otherwise. These Terms grant only a limited, revocable, non-exclusive right to access and use the Website as permitted by these Terms.
Separately published Conduit product software may be open source under licenses supplied with that software. Those licenses do not apply to this Website, Conduit branding, or other materials unless expressly stated.
Conduit names, logos, marks, product names, and branded identities may not be used in a way that implies sponsorship, endorsement, or official operation without prior written consent.
8. Copyright And Rights Notices
If you believe material displayed on the Website infringes your rights, send a notice identifying the work, the Website URL or material at issue, your contact information, and a statement that your claim is accurate and made in good faith. We may remove or restrict Website content or access as we consider appropriate.
9. Privacy
The Website Privacy Policy explains how information is handled on the Website. The Product Privacy Policy separately describes Conduit Shop, Conduit Sell, and their supporting infrastructure.
10. Availability And Security
We may modify, suspend, discontinue, or limit the Website at any time. We do not guarantee that the Website will always be available, accurate, complete, secure, compatible with every browser, or free from harmful components.
We may restrict access where we reasonably believe it is necessary to protect the Website, Conduit, our providers, or other users, or to comply with law.
11. Changes To These Terms
We may update these Terms from time to time. We will post the revised Terms with a new last-updated date and provide additional notice where appropriate. Changes apply prospectively from their effective date. Your continued use of the Website after that date means you agree to the revised Terms.
12. Disclaimers
To the fullest extent permitted by law, the Website and its content are provided "as is" and "as available." Conduit disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and reliability.
Conduit is not responsible for decisions made in reliance on Website content or for the availability, content, security, or conduct of a Product App or third-party destination linked from the Website.
13. Limitation Of Liability
To the fullest extent permitted by law, Conduit and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, access, or goodwill, arising from or relating to the Website, reliance on Website content, or an external destination.
To the fullest extent permitted by law, Conduit's total cumulative liability for claims relating to the Website will not exceed the greater of one hundred U.S. dollars or the amount you paid directly to Conduit for access to the Website during the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above may not apply to you.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Conduit, its affiliates, officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Website, content you submit, your violation of these Terms, or your infringement of another person's rights.
15. Dispute Resolution And Arbitration
Except for claims eligible for small claims court and claims for injunctive or equitable relief relating to intellectual property, security, or unauthorized Website use, you and Conduit agree to resolve disputes through binding individual arbitration rather than in court.
Arbitration will be administered by the American Arbitration Association under its applicable rules unless the parties agree to another provider. Arbitration will occur on an individual basis only. You and Conduit waive the right to bring or participate in a class, collective, consolidated, private attorney general, or representative action to the fullest extent permitted by law.
If a court or arbitrator determines that the class-action waiver is unenforceable as to a particular claim, the arbitration agreement will not apply to that claim to the extent required by law.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. For claims not subject to arbitration, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except where applicable law requires otherwise.
17. Severability And Entire Agreement
If any provision is found unenforceable, the remaining provisions will remain in effect. These Terms and the Website Privacy Policy are the entire agreement between you and Conduit regarding the Website. They do not replace the separate terms that apply to Product Apps or another service.
